Summary in plain language
This summary is here to help you read the agreement. It does not change or add to it.
- Registration: you register your store with accurate details. Aswaqfy reviews and approves your store before you sell.
- Your products: listings must be accurate. No prohibited or counterfeit items.
- Price protection: do not list a product on Aswaqfy at a higher price than you advertise it for on your other channels (e.g. Instagram, WhatsApp).
- Preparing orders: prepare each order within the period stated in your listing (maximum 3 working days). Repeated delays can lead to suspension.
- Order status: keep your order statuses accurate and up to date.
- Identity check: before your first payout, we check your identity and your bank details.
- Payments: Aswaqfy receives buyer payments as your agent and holds them, separately from its own money, until the order is marked delivered and the 48-hour refund-request period (from receipt) has passed with no open refund request or dispute.
- Payouts: the money is then paid out to your bank account.
- Refunds: refunds are paid from held funds. If an order is refunded after you were paid, Aswaqfy can recover that amount from you.
- Fees: Aswaqfy charges you no commission or fees of any kind, and you keep the full value of your products and your delivery fees. If Aswaqfy ever introduces vendor fees, you will be told at least 30 days before they take effect.
- Payment outside Aswaqfy: do not take payment outside Aswaqfy for orders placed through Aswaqfy.
- Customer data: use customer details only to fulfil that order.
- Performance: Aswaqfy may monitor response and preparation times, complaints, cancellations and refunds. Consistent poor performance can lead to a warning, suspension or removal.
The full Merchant Agreement below is what applies.
────────────
1. Introduction
This Merchant Agreement governs the relationship between Aswaqfy and all vendors operating on the Aswaqfy platform. By registering a store, the vendor agrees to comply with all terms and conditions outlined in this agreement.
2. Store Registration
To operate on Aswaqfy, vendors must:
- Provide accurate information.
- Maintain updated contact details.
- Provide any requested verification documents.
- Comply with applicable laws and regulations.
Aswaqfy reserves the right to approve, reject, suspend, or terminate any store account.
3. Products
Vendors are responsible for product names, descriptions, images, pricing, availability, and quality. Products must accurately reflect the actual item being sold.
Price Protection: a vendor may not list a product on Aswaqfy at a price higher than the price publicly advertised for the same product on the vendor's other sales channels (including but not limited to Instagram, WhatsApp catalogs, or other marketplaces). Aswaqfy may request evidence of pricing on other channels and may remove listings found in violation of this rule.
4. Prohibited Products
The following products are strictly prohibited:
- Illegal products.
- Stolen goods.
- Dangerous or restricted items.
- Products that violate Omani laws.
- Counterfeit, replica, or imitation products that use another brand's name, logo, or trademark without authorization — regardless of whether the listing discloses the item as non-genuine.
Vendors confirm they hold the legal right to sell all listed products and that no listing infringes any third party's intellectual property rights. A vendor found selling counterfeit or unauthorized branded goods will have the listing removed immediately and may face store suspension or termination, in addition to any liability the vendor may hold directly to the affected rights holder.
5. Order Fulfillment
Vendors must prepare orders within the period stated in their listing (maximum 3 working days). Repeated failure to fulfill may result in store suspension.
6. Order Status Updates
Vendors must update order statuses accurately: Order Received → Preparing Order → Handed To Delivery Company → Out For Delivery → Delivered. False updates may result in penalties or suspension.
7. Identity Verification
Before a vendor's first settlement payout, the vendor must provide a valid civil ID or passport copy for identity verification. Aswaqfy will not process any payout request until identity verification is complete. This requirement exists for anti-money-laundering compliance and to protect both the vendor and Aswaqfy's customers, and applies regardless of whether the vendor holds a Commercial Registration.
8. Appointment of Aswaqfy as Payment Agent
The vendor hereby appoints Aswaqfy as its exclusive agent for the sole purpose of receiving, on the vendor's behalf, all payments made by customers for products sold through the Aswaqfy platform. The vendor authorises Aswaqfy to collect, hold, and administer those funds strictly in accordance with this Agreement.
The vendor agrees that:
- A customer's payment to Aswaqfy constitutes full and final payment to the vendor, discharging the customer's debt.
- From the moment Aswaqfy receives the funds, they belong to the vendor and are held by Aswaqfy as the vendor's agent, subject only to the settlement conditions in Section 9.
- Aswaqfy is not operating a payment account, stored-value facility, or e-money service for the vendor.
9. Receipt of Funds and Settlement
All funds collected by Aswaqfy on the vendor's behalf are held separately from Aswaqfy's own operating funds.
(a) Conditional settlement — each order's money stays held until the order is marked "Delivered" in the system and the refund-request period in the Refund Policy (48 hours from receipt) has passed, unless a refund request or dispute is open. During this period the funds remain the vendor's property but are withheld.
(b) Settlement amount — the vendor is entitled to the full value of their products and their own delivery fees on every completed order, less any refund amounts processed under Section 10.
(c) Payment to vendor — once the condition in (a) is met, the amount is released and becomes available in the vendor's wallet on the platform. Aswaqfy then transfers it to the vendor's own registered bank account; there is no fixed payout day, and the vendor may also ask for the transfer from the wallet. No amount is transferred before Aswaqfy has checked the bank details when they are first registered or changed, and has completed the identity verification in Section 7.
(d) Delay or investigation — Aswaqfy may delay or withhold settlement when there is a pending dispute, fraud investigation, or breach of this Agreement. In such cases, the funds remain held as the vendor's money until the matter is resolved.
10. Refunds and Chargebacks
Vendors must cooperate with all refund and dispute investigations. Refunds may be issued from the funds held by Aswaqfy on the vendor's behalf in cases including:
- Wrong item delivered.
- Damaged item.
- Product significantly different from description.
- Counterfeit or unauthorized branded products.
- Vendor unable to fulfill the order.
Aswaqfy will refund the customer directly from the vendor's held funds, acting as the vendor's agent. The vendor authorises this deduction.
Clawback: if a refund is approved after the corresponding settlement has already been paid to the vendor, the refunded amount will be deducted from the vendor's next available settlement, or, if no further settlement is due within a reasonable period, invoiced directly to the vendor for repayment. The vendor agrees to repay such amounts promptly upon request.
11. Fees
Aswaqfy charges the vendor no commission or fees of any kind. The vendor is entitled to the full value of their products and their own delivery fees on every completed order. Should Aswaqfy decide to introduce any vendor fees in the future, it will notify the vendor at least thirty (30) days before they take effect.
12. Anti-Bypass Policy
To protect the integrity of the marketplace and the trust of Aswaqfy customers, vendors agree not to:
- Ask a customer to cancel an Aswaqfy order in order to complete the purchase directly.
- Request direct payment from an Aswaqfy customer outside the platform for an order originating on Aswaqfy.
- Offer discounts or incentives specifically to move a customer's future purchases off-platform.
- Otherwise attempt to bypass Aswaqfy's payment system for a transaction connected to the platform.
Violations of this policy will be handled according to the following escalation, at Aswaqfy's discretion based on severity and repetition:
1. Warning.
2. Reduced visibility on the platform.
3. Store suspension.
4. Permanent removal from the platform.
13. Data and Privacy
Vendors will receive only the customer information necessary to fulfill a specific order (name, phone number, and delivery address). Vendors agree not to use this information for any purpose beyond fulfilling that specific order, including unsolicited marketing contact, and agree to handle any customer information in compliance with Oman's Personal Data Protection Law (PDPL).
14. Store Performance
Aswaqfy may monitor response times, preparation times, complaints, cancellation rates, and refund rates. Consistent poor performance may result in warnings, suspension, or removal.
15. Fraud & Misconduct
Prohibited: false information, fake orders, review manipulation, misrepresenting product authenticity, or other fraudulent or deceptive conduct. Violations may result in immediate account termination.
16. Intellectual Property
Vendors confirm they have the legal right to sell listed products and use all associated content.
17. Limitation of Liability
Aswaqfy acts as a marketplace facilitator and is not liable for losses from vendor misconduct, delivery delays, or events beyond its reasonable control.
18. Store Suspension & Termination
Aswaqfy may suspend, restrict, or remove stores that violate policies or harm customer trust.
19. Changes To This Agreement
Aswaqfy may update this Agreement. Continued use after changes constitutes acceptance.

This Agreement is governed by the laws of the Sultanate of Oman.
